Terms of Service

Welcome to Autanate! These Terms of Service ("Terms") govern your access to and use of our platform, which provides tools for drag-and-drop digital product creation and software development life cycle (SDLC) automation, including design, analysis, coding, and testing. By using our services, you agree to comply with these Terms. Please read them carefully.

1. Definitions

  • System (Autanate): Refers to the platform, including all tools, software, and services provided by Autanate for digital product creation and SDLC automation.
  • Customer: The entity or individual who has registered for an account to use the system for business purposes.
  • Customer's Representative: Any person or entity authorized by the customer to use the system on their behalf, including employees, contractors, and agents.
  • Customer's User: End-users of the products or services developed by the customer using the system.
  • Autanate Representative: Any employee, agent, or representative of Autanate who provides support or interacts with the customer regarding the system.
  • Workday: The regular hours of operation for support or communications from Autanate, which are Monday to Thursday, between 12:00 PM and 6:00 PM, according to the EEST (UTC+3).
  • 3rd party: is any entity other than the user and the service provider that may interact with or receive data related to the service. This can include external vendors, partners, or services that support or integrate with the main platform.

2. Acceptance of Terms

By creating an account, accessing, or using the system offered by Autanate ("we," "us," or "our"), you agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, you must refrain from using our services.

3. Service Overview

Autanate is a cloud-based platform that allows users to create digital products through drag-and-drop interfaces and automate software development life cycles. The platform includes features for:

  • Design and prototyping
  • Analysis of project requirements
  • Automated frontend code generation
  • Automated test automation code generation

We may update or modify the platform, including adding or removing features, without prior notice.

4. Ownership of Outputs and Intellectual Property

Customer Ownership: Any product, analysis, code, or other outputs created using the platform belong solely to the customer. We (Autanate) do not claim any intellectual property rights over the outputs generated by the customer through the platform, and the customer is free to use, distribute, or commercialize these outputs independently of the platform.
Autanate Intellectual Property: While customers own the outputs they create, all intellectual property rights related to the platform itself, including but not limited to the drag-and-drop interface, automated development processes, and underlying software, belong to Autanate. Customers must respect our intellectual property rights and refrain from reverse engineering, copying, or distributing any part of our platform.
Feedback and Feature Requests: Autanate may use any feedback, suggestions, or development requests provided by the customer or their representative to improve, modify, or enhance the system. All intellectual property rights in such improvements or modifications—whether based partly or entirely on customer input—shall remain the sole property of Autanate. The customer will not have any ownership rights or claims over such platform-level developments, even if they were inspired by or initiated from customer input.

5. Customer Responsibilities

Proper Use: Customers and their representatives must not use the platform to develop or distribute products that contain illegal, harmful, or offensive content. This includes but is not limited to content related to sexual explicit material, gambling sites, or any other products that violate applicable laws or ethical standards.
Illegal or Harmful Code and Third-Party Usage: If Autanate becomes aware of any illegal, harmful code, or unauthorized use of third-party assets by the customer or customer's representative, Autanate reserves the right to immediately deactivate and permanently delete the customer's product and account without prior notice.
Code Integrity: The customer or their representative is prohibited from adding any malicious code that could harm the platform, other users, or their own users. If any issues or bugs arise due to code or actions introduced by the customer or their representative, Autanate is not responsible for these issues.
User Data Protection: The customer is responsible for the protection and proper handling of their user's data. Autanate is not responsible for any misuse, loss, or unauthorized access to customer user's data caused by the customer or their representatives.
Product Quality, Security, and Performance: The customer is solely responsible for the quality, security, and functional performance of the products they create using the platform. Autanate does not guarantee code security, product security, or the proper working and functionality of any customer-created products, and shall not be held liable for any security vulnerabilities, malfunctions, or defects within customer products.
Third-Party Licenses and Payments: The customer is solely responsible for obtaining and paying for any third-party licenses, including but not limited to fonts, icons, images, libraries, software, and other external assets used in their projects. Autanate is not responsible for the acquisition or cost of any third-party materials. Any legal issues or disputes arising from the use of third-party assets must be managed by the customer.
Compliance with Laws: Customers must ensure that their products comply with applicable laws, regulations, and third-party contracts. Autanate is not responsible for customer obligations, including third-party payments or licensing.

6. Subscription, Payment, and Refund Policy

License and Payment: Customers are required to maintain an active subscription, including timely payments for any license fees, maintenance, or data usage fees.
Late Payments: If a customer fails to make the necessary payments within 15 days of the due date, their account and products will be temporarily deactivated. If the customer fails to make payments within 3 months, Autanate will permanently delete the customer's account and products. Customers are responsible for ensuring that a valid payment method is registered in the system.
Service Deactivation: If the account is deactivated due to non-payment, all associated services, including access to the products created, will be suspended until payments are made.
No Refund Policy: Customers have the opportunity to try the system before committing to a paid license. Therefore, once a license or subscription payment is made, it is non-refundable, even if the customer chooses to stop using the system before the end of the subscription period.

7. Support and Urgent Issues

Urgent Issues: If there is an urgent issue where the customer is unable to access the platform, Autanate will provide support on the next workday after the issue is reported. Urgent issues are defined as the inability to access the system. Non-urgent issues will be addressed within the next three workdays.
Workdays and Hours: Autanate's working hours are Monday to Thursday, between 12:00 PM and 6:00 PM, according to the EEST (UTC+3). Issues reported outside these hours will be handled on the next available workday.
Respect for Autanate's Working System: The customer must be respectful of Autanate's work culture and internal processes. Customers must maintain professional communication with Autanate representatives.

8. Limitation of Liability

To the fullest extent permitted by law, AUT and its affiliates will not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or goodwill, arising from or related to your use of the platform.

Our total liability for any claim arising from these Terms or the use of the platform will not exceed the amount paid by you to use the Service in the 12 months preceding the event that gave rise to the claim.

AI Output Disclaimer:

AUT provides certain features that use artificial intelligence (AI) to assist with code generation, design, and development automation. AUT is not responsible for the content, accuracy, legality, security, or suitability of any output produced by AI. Customers must independently review, test, and validate all AI-generated outputs before use.

9. Warranties and Disclaimers

Our platform is provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant that:

  • The platform will meet your specific requirements or expectations.
  • The platform will operate without interruption, errors, or security breaches.

We disclaim all warranties, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Right to Modify Terms

Autanate reserves the right to modify, update, or replace these Terms at any time, including adding or removing matters or clauses without prior notice. If material changes are made to the Terms, customers will be notified via email or through the platform. Continued use of the platform after such changes constitutes acceptance of the updated Terms.

11. Termination

We may suspend or terminate your access to the platform at any time, without prior notice or liability, if you breach these Terms or engage in any prohibited conduct.

Upon termination, you will no longer have access to your account or the products and data stored within it. We may, however, retain some of your data as required by law or as necessary to protect our rights.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
